1. Acceptance of Terms
By accessing or using the HelpGuides platform ("Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, please do not use the Service. These Terms apply to all visitors, users, and others who access or use the Service.
2. Use of Service
HelpGuides grants you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes. You agree to use the Service only in accordance with these Terms and all applicable laws and regulations.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at support@helpguides.app of any unauthorized use of your account.
3. User Accounts
To use certain features of the Service, you must create an account. When creating an account, you must provide accurate and complete information. You may not:
- Use a false identity or impersonate any person or entity
- Create more than one account per company without our prior written consent
- Transfer your account to another party without our prior written consent
- Share your account credentials with unauthorized third parties
4. Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of HelpGuides and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.
You retain ownership of all content you create and publish through the Service ("User Content"). By using the Service, you grant HelpGuides a limited, worldwide, royalty-free license to host, store, and display your User Content solely for the purpose of providing the Service.
5. Prohibited Conduct
You agree not to engage in any of the following:
- Using the Service for any unlawful purpose or in violation of any regulations
- Uploading or transmitting viruses or any other malicious code
- Attempting to gain unauthorized access to any part of the Service
- Interfering with or disrupting the integrity or performance of the Service
- Scraping, crawling, or data-mining the Service without prior written consent
- Using the Service to send unsolicited communications (spam)
6. Payment & Billing
Certain features of the Service are available on a paid subscription basis. By subscribing to a paid plan, you agree to pay the applicable fees. All payments are processed securely through Stripe. By providing payment information, you authorize us to charge your payment method for the subscription fees.
- Subscriptions are billed annually in advance
- All fees are non-refundable except as required by applicable law
- We reserve the right to change subscription fees upon 30 days' written notice
- Failure to pay may result in suspension or termination of your account
7. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.
You may terminate your account at any time by contacting us at support@helpguides.app. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.
8. Disclaimer of Warranties
The Service is provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. HelpGuides does not warrant that the Service will be uninterrupted, error-free, or completely secure.
9. Limitation of Liability
To the maximum extent permitted by applicable law, HelpGuides shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service, even if HelpGuides has been advised of the possibility of such damages. Our total liability to you for all claims arising under these Terms shall not exceed the amount you paid to HelpGuides in the twelve months preceding the claim.
10. Governing Law
These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration or in the courts of competent jurisdiction. You agree to submit to the personal jurisdiction of such courts.
11. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice before material changes take effect by posting the updated Terms on this page and updating the effective date. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.
